Acceptable Use Policy

This Acceptable Use Policy (the “AUP”) sets out the conduct required of everyone who accesses or uses the Kappino platform (the “Service”), operated by TechVerdi SA, Av. Charles-Ferdinand Ramuz 60, 1009 Pully, Switzerland. It applies to the Business Customer (“you”) and to all of your authorised users, including owners, managers, staff, and riders.

This AUP forms part of, and is incorporated into, our Terms & Conditions. A breach of this AUP is a breach of those Terms. Capitalised terms have the meaning given in the Terms.

You are responsible for all activity carried out under your account and by your authorised users, and for ensuring that they comply with this AUP. You must use the Service in good faith, lawfully, and only for legitimate business purposes connected with your food or hospitality operations.

You must not use the Service for any unlawful purpose or in any way that breaches applicable law, including Swiss federal and cantonal law and any other law that applies to you. This includes using the Service to facilitate fraud, money laundering, tax evasion, the sale of prohibited goods, the infringement of others’ rights, or any criminal offence.

You must not attempt to compromise the security or integrity of the Service. In particular, you must not:

• gain or attempt to gain unauthorised access to the Service, other accounts, other tenants’ data, servers, or networks;
• probe, scan, or test the vulnerability of the Service, or breach or circumvent authentication, access controls, tenant isolation, or security measures;
• intercept, capture, or modify data not intended for you; or
• use another person’s credentials or share your credentials to enable unauthorised access.

These activities may also constitute criminal offences under the Swiss Criminal Code, including unauthorised access to a data processing system and unauthorised obtaining of data. Good-faith security research is only permitted under our separate written authorisation or a published responsible-disclosure process.

You must not upload, transmit, or introduce any malware, viruses, worms, trojans, ransomware, spyware, or other harmful or malicious code, nor any file or content designed to disrupt, damage, disable, or impair the Service or any data or systems.

Damaging or altering data without authorisation may constitute an offence under the Swiss Criminal Code.

You must not use bots, crawlers, scrapers, or other automated means to access, monitor, copy, or extract data from the Service, except through our official APIs and within their documented limits. You must not:

• circumvent, disable, or exceed rate limits or usage limits, or use scoped API keys outside their intended scope;
• generate automated, fake, or fraudulent activity, such as fake orders, reservations, accounts, reviews, or traffic; or
• use automation to overload the Service or gain an unfair advantage.

You must not use the Service to store, send, or distribute content that is unlawful, defamatory, harassing, threatening, hateful, discriminatory, obscene, or that depicts or facilitates the exploitation of minors.

You must not harass, abuse, or harm other users, our staff, your own customers or staff, or any third party through the Service. You must not impersonate any person or misrepresent your affiliation.

Where you use the Service’s communication features, such as SMS, email, push, or messaging integrations, to contact your customers, you must comply with applicable marketing and anti-spam law. In particular, you must:

• send mass or marketing communications only to recipients who have given the required consent;
• clearly identify yourself as the sender and the commercial nature of the message; and
• provide a working, easy opt-out in every marketing message and honour opt-outs promptly.

Unsolicited mass electronic advertising without consent, sender identification, and an opt-out is prohibited and may breach Swiss unfair competition rules. You are responsible for the lawfulness of the communications you send.

You must not use the Service, including any ordering, e-commerce, or delivery features, to sell, offer, or distribute goods or services that are illegal or that you are not authorised to sell.

This includes, without limitation, controlled substances and illegal drugs; counterfeit or stolen goods; weapons where prohibited; and any age-restricted product, such as alcohol or tobacco, sold in breach of applicable age-verification and licensing requirements. You are responsible for holding all licences and permits required for your offering.

You must not infringe our or any third party’s intellectual property rights. You must not reverse engineer, decompile, disassemble, or attempt to derive the source code, models, or underlying structure of the Service, except to the extent this restriction is prohibited by mandatory law.

You must not remove or alter any proprietary notices, or use the Kappino name, logo, or branding without permission.

You must not resell, sublicense, rent, lease, or otherwise make the Service available to third parties, or use it to build or operate a competing product, without our prior written permission. The Service is licensed for your own internal business use as set out in the Terms.

When using the AI and OCR features, you must not:

• upload or process content you have no lawful right to use, or that infringes third-party rights;
• attempt to extract, copy, or reverse engineer the underlying AI models, or to derive training data;
• use the features to generate unlawful, deceptive, or harmful content, or to make decisions you are required by law to make through human judgement; or
• misrepresent AI-generated output as independently verified where you have not verified it.

AI outputs may be inaccurate and are provided to assist, not replace, your judgement. You remain responsible for decisions you make.

If you use features involving GPS / location tracking of staff or riders, you must use them lawfully, transparently, and proportionately. You must inform affected individuals, have a valid legal basis, and comply with applicable employment and data protection law.

This includes Swiss restrictions on systems used to monitor worker behaviour. You must not use these features for covert or disproportionate surveillance.

You must not take any action that imposes an unreasonable or disproportionately large load on the Service or its infrastructure, interferes with its proper working, or degrades the experience of other users — including denial-of-service activity, flooding, or excessive automated requests.

You must use the Service within any fair-use or plan limits described in your Order or on our pricing page.

We do not routinely monitor your content, but we may investigate suspected breaches of this AUP and review activity to protect the Service, our users, and the public.

Where we reasonably believe this AUP has been breached, we may, depending on the severity and in line with the Terms:

• issue a warning and request that you remedy the issue;
• suspend or restrict access to affected features or the account, with or without notice;
• remove or disable offending content;
• terminate the account for serious or repeated breaches, such as fraud, abuse, illegal activity, or non-payment; and
• where required or appropriate, report the matter to the competent authorities and cooperate with lawful investigations.

We will act proportionately and, where reasonable and lawful, give you an opportunity to remedy a breach before taking more serious action — except in urgent cases where immediate action is warranted.

If you become aware of a breach of this AUP, a security vulnerability, or unlawful content or activity on the Service, please report it to us at office@techverdi.ch with enough detail for us to investigate.

We ask security researchers to act in good faith, avoid accessing or modifying others’ data, and give us a reasonable opportunity to respond before any disclosure.

We may update this AUP from time to time to reflect changes in the Service, our practices, or the law. We will post the updated version with a revised “Last updated” date and, where changes are material, provide reasonable notice.

Your continued use of the Service after the effective date constitutes acceptance of the updated AUP.

This AUP is governed by Swiss law, excluding its conflict-of-law rules and the United Nations Convention on Contracts for the International Sale of Goods (CISG). The competent courts of the Canton of Vaud, Switzerland — place of jurisdiction: Pully / Lausanne — have exclusive jurisdiction, subject to any mandatory place of jurisdiction.
